These Terms and Intellectual Rights govern all work, services, and deliverables created by Dark Room Development (DRD). By accessing this website or working with DRD, you agree to the Terms and Intellectual Rights defined on this page. These terms protect both DRD and its clients by clearly outlining expectations, rights, and limitations.


Terms and Intellectual Rights Overview

These Terms and Intellectual Rights apply to all clients, visitors, and collaborators. They define intellectual property control, usage rights, licensing, and responsibility for all work delivered by DRD. If you do not agree to these terms, you are not authorized to use our services or content.


Services Covered by These Terms and Intellectual Rights

The following services offered by Dark Room Development fall under these terms:

  • Full stack web development
  • AI workflow design, automation, and deployment
  • Prompt engineering and optimization
  • Technical SEO implementation and site performance improvement
  • Custom PC building and hardware configuration
  • AI-generated visual media, copywriting, and scripts

Unless otherwise stated in a written contract, all services and deliverables are subject to DRD’s Terms and Intellectual Rights.


Intellectual Property Rights and Ownership

Retained Ownership

All work created by DRD — including websites, code, scripts, prompts, and AI assets — is the intellectual property of Dark Room Development unless explicitly transferred in writing. Clients are granted a limited-use license for intended personal or business use.

DRD retains the right to:

  • Use anonymized deliverables in its public portfolio
  • Protect and reuse generic backend logic or development patterns
  • Restrict redistribution, resale, or commercial licensing unless authorized

AI and Prompt-Based Content

All AI-generated assets produced by DRD, including artwork, written content, and logic-driven outputs, are considered original intellectual property. Prompts, system logic, and model configuration remain proprietary and cannot be transferred, copied, or reused without permission.

Code and Development Systems

Custom backend logic, optimization workflows, or automated systems are considered proprietary intellectual property. Usage is granted only for the specific project in which it was delivered and may not be replicated for third-party use or resale.


Compliance with OpenAI Usage Policies

Dark Room Development uses tools from OpenAI and other providers in full compliance with OpenAI’s Usage Policies. We align with their terms in the following ways:

  • Prohibiting the generation of harmful, deceptive, or illegal content
  • Ensuring privacy and ethical handling of all user input
  • Clearly disclosing when AI systems or outputs are used in projects
  • Rejecting projects that attempt to exploit or misuse AI tools

DRD reserves the right to terminate any engagement that violates OpenAI’s standards or our internal ethical policies.


Payment Terms and Refund Policy

Upfront Payment Requirement

All projects require 100% upfront payment before development begins. No work will be scheduled or delivered until payment has been received and verified.

Refunds and Cancellations

Once work begins, all sales are final. Refunds are not available unless DRD is unable to fulfill the agreed-upon deliverables for internal reasons. Subjective dissatisfaction or changes in direction by the client do not qualify for a refund.

Chargebacks will result in a complete revocation of access to all files, licenses, and usage rights and may result in legal action.


Client Responsibilities Under These Terms and Intellectual Rights

Clients are responsible for:

  • Providing content, assets, and feedback in a timely manner
  • Communicating clearly and professionally throughout the development process
  • Understanding that delays on the client side may affect final delivery timelines
  • Respecting the boundaries of licensing and usage for all deliverables

Failure to comply with these responsibilities may result in delivery delays, paused work, or additional fees.


Acceptable Use and Restrictions

You may not:

  • Resell, redistribute, or relicense DRD deliverables without written consent
  • Misrepresent DRD’s work as your own original intellectual property
  • Use AI-generated content for misinformation, harassment, or illegal activities
  • Attempt to reverse-engineer or extract prompts, models, or systems provided

Any violation of these restrictions will result in immediate termination of service and potential legal enforcement.


Legal Jurisdiction

All agreements and disputes are governed by the laws of the state of Colorado, United States. By working with DRD, you consent to legal jurisdiction within Colorado for any contract or dispute resolution.


Changes to These Terms

Dark Room Development reserves the right to update or modify these Terms and Intellectual Rights at any time. Clients and users are encouraged to review this page periodically. Continued use of DRD’s services after updates constitutes acceptance of the revised terms.
